NOTICE OF SPECIAL GENERAL MEETING - CYCLO SPORTIF CLUB OF AUSTRALIA (INC)
The proposal was defeated by 171 votes against and 3 votes for the changes. To affect the change the for vote needed to be at least 75% of the vote.
TAKE NOTICE that a Special General Meeting of Cyclo Sportif Club of Australia (Inc) has been called in accordance with clause 13(b)(iii) of the Constitution of the Club.
The meeting will be held at 65 Hay Street, Subiaco on Tuesday, 23 March 2010, at 6:00pm.
The business of the meeting is to consider the following motion namely:
\"That the Constitution be changed in the following way:
Current paragraph 2 – Objects be replaced in its entirety by the following:
The Objects of Cyclo Sportif Club of Australia are:
(a) a Cycling sporting club organising events for its members and affiliated participants with a focus on these being team based.
(b) Although sporting clubs by nature include elements of competition , Cyclo Sportif wants to retain the character of these events being \'Recreational\' rather than \'Races\' that are characteristic of \'Highly Competitive\' sporting clubs.
(c) To raise the general standard of riding skill amongst members.
(d) Although the Club is supportive of Bicycle Advocacy for WA, it is not the purpose of this Club to take on that role. The Club will remain very supportive of improving Bicycle Advocacy in WA, and will liaise with other associations in WA to improve and bolster existing and if necessary help establish other organisations or structures that will benefit cycling in WA in its broadest sense, be that for transport, recreation, or sport.\"
This motion is proposed by Mr. Paul Loring and 9 other members.
The existing clause 2 reads:
\"2. OBJECTS
The objects of the Club are:
(a) to promote the sport of cycling generally and to liaise and co-operate with governmental, semi-governmental, private and charitable bodies, the purposes of which are to promote participation in cycling generally, the conduct of cycling events and the promotion of a safe environment for cyclists.
(b) to organise and provide cycling events that offer fun, fitness and challenges to serious recreational cyclists in Western Australia;
(c) to provide an opportunity to learn the skills and techniques required for safe cycling;
(d) to affiliate with those entities (including but not limited to Cycling WA and Cycling Australia) whose purpose is the promotion of cycling generally;
(e) to provide opportunities for group recreation and regional involvement in Club events;\"
No other business will be conducted at the meeting.
To attend the meeting or vote by proxy you must be a current financial member of the Cyclo Sportif Club of Australia (Inc.) which includes membership described as “Bicycling Western Australia” or “BWA”
Proxy votes may be utilised for the purposes of the meeting. All voting of the meeting is to be by person or by proxy, provided that a proxy must be evidenced in writing and received by the Secretary in hard copy by post, fax or by email prior to the time set for commencement of the meeting. A proxy should indicate:
(a) the name of the member giving the proxy and be signed by him or her;
(b) the name of the proxy holder (who must be a member). If no proxy holder is nominated, the proxy will be held by the Chair and exercised by the Chair of the meeting; and
(c) how the proxy is to be exercised in relation to the business before the meeting. If no indication is made on the face of the proxy as to the way in which the proxy is to be exercised, the holder of the proxy may exercise the proxy in the proxy holder\'s absolute discretion.
